1. Acceptance of Terms

Welcome to inquo, operated by Allydyne, Inc. ("Company," "we," "us," or "our"). By accessing or using our prediction market platform at allydyne.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

To use inquo, you must:

• Be at least 18 years of age (or the age of legal majority in your jurisdiction)
• Have the legal capacity to enter into binding contracts
• Not be a resident of any jurisdiction where participation in prediction markets is prohibited
• Receive and accept an invitation to join the platform
• Complete our account verification process

inquo is an invite-only platform. We reserve the right to approve or deny access at our sole discretion.

3. Account Registration and Security

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You may not transfer, sell, or share your account with any other person. We may suspend or terminate accounts that we believe are being used in violation of these Terms.

4. Trading and Contracts

inquo offers event contracts related to equity markets. By trading on our platform, you acknowledge and agree that:

• All trades are final once executed and cannot be reversed
• Contract prices range from $0.01 to $0.99, representing probability estimates
• Contracts resolve to either $0 or $1 based on the outcome of the underlying event
• You understand and accept the financial risks associated with trading
• Past performance does not guarantee future results
• You are responsible for any taxes owed on gains from trading

5. Deposits and Withdrawals

All deposits and withdrawals are processed in US dollars. You agree that:

• Funds deposited must be from accounts in your name
• We may require identity verification for deposits and withdrawals
• Withdrawal requests are subject to our review and may take several business days to process
• We reserve the right to delay or refuse withdrawals if we suspect fraud or Terms violations
• Minimum and maximum limits may apply to deposits and withdrawals

6. Prohibited Conduct

You agree not to:

• Manipulate markets through coordinated trading, wash trading, or other deceptive practices
• Trade on material non-public information that you are prohibited from using
• Use automated systems, bots, or scripts without prior written approval
• Create multiple accounts or share account access
• Attempt to interfere with or compromise the integrity of the platform
• Circumvent any security measures or access restrictions
• Use the Service for any unlawful purpose
• Harass, threaten, or harm other users

7. Market Resolution

We determine the resolution of all markets at our sole discretion based on publicly available information. Our resolution decisions are final and binding. In cases of ambiguity or unforeseen circumstances:

• We may delay resolution until sufficient information is available
• We may resolve a market as ambiguous and refund all positions
• We will use our best judgment to resolve markets fairly and consistently

8. Intellectual Property

The Service, including all content, features, and functionality, is owned by Allydyne, Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on any part of the Service without our prior written consent.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALLYDYNE, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE DEPOSITED IN YOUR ACCOUNT DURING THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Allydyne, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.

13. Termination

We may suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service will immediately cease. Any funds in your account at termination will be returned to you, less any amounts owed to us or subject to pending disputes.

14. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.
